Welcome to Brixzly (“Brixzly, LLC,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our website, applications, and related AI-powered services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree, do not use the Services.

1. Overview

Brixzly provides AI-assisted tools to help users analyze, manage, and collaborate on design and construction documents, including bids, proposals, drawings, contracts, and project data.
Our platform assists professionals through all phases of the project lifecycle — from pre-construction and bidding to design review, construction administration, and post-occupancy management.

You may use the Services only in compliance with these Terms and all applicable laws and professional standards.

2. Eligibility

You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use Brixzly.
By using the Services, you confirm that:

• You meet these requirements;
• The information you provide is accurate and complete; and
• You have authority to bind your company or organization if using the platform on its behalf.

3. Account Registration

To access most features, you must register for an account. You agree to:

• Provide accurate, current information;
• Maintain the confidentiality of your login credentials; and
• Notify us promptly of unauthorized access or use.

Brixzly may suspend or terminate accounts for false information or violation of these Terms.

4. Acceptable Use

You agree not to:

• Use the Services for unlawful, fraudulent, or misleading purposes;
• Upload documents that violate confidentiality, intellectual property, or privacy laws;
• Attempt to reverse engineer, disrupt, or exploit the Services;
• Use AI outputs as the sole basis for design, legal, or construction decisions without professional review.

The Services are intended to assist, not replace, professional judgment.

5. AI Output and Disclaimers

Brixzly uses AI technologies to assist with document review and project evaluation.
You understand that:

• AI results are generated based on patterns and context from provided data;
• Output may contain errors, omissions, or misinterpretations;
• All analyses are for informational purposes only.

You are responsible for verifying AI results before relying on them.
Brixzly makes no warranty as to the accuracy, completeness, or fitness of any AI-generated content.

6. Intellectual Property

All intellectual property rights in the Services (including software, algorithms, and designs) belong to Brixzly, LLC or its licensors.

You retain ownership of your uploaded documents, but grant Brixzly a limited license to process, host, and display your content solely to operate and improve the Services.

You may not copy, modify, or distribute any part of the Services without prior written consent.

7. Privacy and Data Use

Our Privacy Policy explains how we collect, use, and protect user information.
By using the Services, you consent to our data practices and agree that your uploaded content may be processed by AI systems for analysis and improvement of results.

8. Subscriptions and Payments

Some features require a paid subscription plan. By subscribing, you agree to the following billing, cancellation, and refund terms.

Billing

Brixzly subscription plans are billed on an annual basis. Pricing displayed on our website reflects a monthly equivalent (e.g., “$10 / mo · Billed Yearly”) for ease of comparison; however, the full annual amount is charged at the time of purchase and upon each renewal.

Payments are processed securely through Stripe. By completing checkout, you authorize Brixzly to charge the annual subscription fee to your payment method on the billing date and on each subsequent renewal date.

We may modify pricing with reasonable prior notice. Continued use of the Services after a price change takes effect constitutes your acceptance of the new pricing.

Cancellations

You may cancel your subscription at any time through your membership account page or by contacting us at privacy@brixzly.com.

Cancellations are processed in one of two ways:

• Scheduled cancellation (end of billing period): Your membership and access remain active through the end of your current annual billing period, after which your subscription will not renew and no further charges will be made.
• Immediate cancellation: Your membership and access are terminated immediately. If eligible, a prorated refund will be issued automatically (see Refunds below).

Refunds

All fees are non-refundable except as described below or where required by applicable law.

If you choose immediate cancellation, you may be eligible for a prorated refund of the unused portion of your annual subscription, subject to the following conditions:

• Refund eligibility window: Refunds are only available if the cancellation is requested within the first 90 days of your original subscription date. Cancellations made after 90 days from the subscription start date are not eligible for a refund, regardless of days remaining in your billing period.
• Refund calculation: Refunds are calculated as: (days remaining ÷ total days in billing period) × annual fee paid.
• Processing time: Refunds are issued to the original payment method on file via Stripe and may take 5–10 business days to appear, depending on your bank or card issuer.
• Non-refundable fees: Stripe processing fees incurred at the time of the original transaction are non-refundable and may be deducted from the refund amount where applicable.
• Exclusions: Refunds are not available for partial months, add-ons, or one-time fees.

Brixzly reserves the right to deny refund requests where abuse of this policy is suspected.

9. Third-Party Services

Brixzly integrates with third-party providers (e.g., AWS, Stripe, Google Drive).
Use of these integrations is subject to their respective terms and privacy policies.
Brixzly is not responsible for third-party products, content, or actions.

10. User-Generated Content and Collaboration

Brixzly enables users to upload, share, and collaborate on design drawings, construction specifications, bids, proposals, and contracts.
You retain ownership of all content you upload.

By submitting content, you grant Brixzly a non-exclusive, worldwide, royalty-free license to host and process it solely to provide and enhance the Services.

You are responsible for:

• The accuracy, completeness, and legality of all uploaded or shared materials;
• Securing permissions from relevant stakeholders;
• Complying with confidentiality and IP obligations.

You must not upload or share content that:

• Violates intellectual property or privacy laws;
• Contains unauthorized confidential or proprietary information;
• Breaches contracts, NDAs, or professional ethics.

Brixzly may remove content that violates these Terms or applicable law.

11. Beta Features Disclaimer

Brixzly may release beta or experimental features, including early-access AI tools for drawing, bid, or contract analysis.

You understand and agree that:

• Beta features may be unstable or incomplete;
• Outputs may contain inaccuracies or misleading information;
• Such tools are provided “as is”, without warranty;
• Beta results should not be relied upon for professional, legal, or financial decisions.

Your use of beta tools is voluntary and at your own risk.

12. Professional and Contractual Liability Disclaimer

Brixzly offers AI-assisted tools to support document review and decision-making in architecture, engineering, construction, and contract administration.
Brixzly is not a licensed professional or law firm, and does not provide professional advice.

You acknowledge that:

• AI outputs are advisory only and not professional recommendations;
• Brixzly does not provide legal interpretation, design certification, or compliance opinions;
• You remain solely responsible for verifying all results.

Brixzly is not liable for:

• Misinterpretations of drawings, specifications, or codes;
• Inaccurate analysis of contract terms, bids, or proposals;
• Any damages, disputes, or outcomes arising from reliance on AI insights.

Use of the platform does not create a client–architect, client–engineer, or attorney–client relationship.
You agree to independently confirm the validity of all AI-generated data before applying it in practice.

13. Regulatory and Compliance Notice

Brixzly, LLC is not a registered architectural, engineering, or legal practice.
Its tools are intended to assist professionals, not replace licensure or certification.

You are responsible for ensuring that your use of Brixzly complies with:

• Local and national licensing laws;
• Building codes, procurement laws, and contract requirements;
• Professional standards and ethics governing your discipline.

14. Data Security

We use industry-standard measures (SSL/TLS encryption, access controls, backups) to protect your data.
However, no system is completely secure, and you use the Services at your own risk.

15. Termination

We may suspend or terminate your access if you violate these Terms or misuse the Services.
Upon termination, your license to use the platform ends, and we may delete or restrict access to stored data consistent with our retention policy.

16. Modifications

We may update these Terms from time to time.
Changes take effect upon posting the updated version on our website.
Your continued use constitutes acceptance of the revised Terms.

17. Limitation of Liability

To the fullest extent permitted by law:

• Brixzly is not liable for indirect, incidental, or consequential damages;
• Our total liability will not exceed the greater of $100 or the amount paid to Brixzly in the last six months.

Use of the Services is at your own discretion and risk.

18. Indemnification

You agree to defend, indemnify, and hold harmless Brixzly, LLC and its affiliates from any claims, damages, or expenses arising from:

• Your use of the Services;
• Your uploaded content;
• Your breach of these Terms or violation of applicable law.

19. Governing Law

These Terms shall be governed by the laws of the State ofIllinois without regard to conflict of law principles.
Any disputes shall be resolved in courts located in Cook County, Illinois.
