Welcome to Brixzly (“Brixzly, LLC,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our website, applications, and related AI-powered services (collectively, the “Services”).
The Services include QuirkyBoard — a collaborative workspace delivered as a Google Chrome browser extension and as a progressive web application at https://app.quirkyboard.com — through which you may create boards, notes, checklists, chat, timelines, file attachments, optional integrations (such as cloud storage browsers and email features), and related productivity features. Where you access QuirkyBoard using your Brixzly account, authentication is performed through Brixzly, while collaboration data may be processed through QuirkyBoard’s supporting backend infrastructure.
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Overview
Brixzly provides AI-assisted tools to help users analyze, manage, and collaborate on design and construction documents, including bids, proposals, drawings, contracts, and project data. Our platform assists professionals through phases of the project lifecycle — from pre-construction and bidding to design review, construction administration, and post-occupancy management.
You may use the Services only in compliance with these Terms and all applicable laws and professional standards.
2. QuirkyBoard — collaboration
QuirkyBoard lets you upload, organize, and share your content with people you invite. You choose whom to invite and what permissions to grant. People you share with may copy, export, screenshot, or reshare content consistent with their access — you are responsible for invitations and confidentiality.
AI-assisted features inside QuirkyBoard (where enabled) send only the inputs you submit for that action to our AI providers; outputs may be inaccurate or incomplete and must be reviewed before reliance.
Optional connections (for example Google Drive, Dropbox, or email features) are governed by those providers’ terms in addition to these Terms.
3. Eligibility
You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use the Services.
By using the Services, you confirm that you meet these requirements; the information you provide is accurate and complete; and you have authority to bind your company or organization if using the platform on its behalf.
4. Account registration
To access most features, you must register for an account. Access to QuirkyBoard through the Chrome extension or web app requires sign-in with your Brixzly account credentials (or other authentication methods we enable). Your membership level may determine which Brixzly or QuirkyBoard capabilities are available.
You agree to provide accurate, current information; maintain the confidentiality of your login credentials; and notify us promptly of unauthorized access or use.
Brixzly may suspend or terminate accounts for false information or violation of these Terms.
5. Acceptable use
You agree not to:
- Use the Services for unlawful, fraudulent, or misleading purposes;
- Upload documents that violate confidentiality, intellectual property, or privacy laws;
- Attempt to reverse engineer, disrupt, or exploit the Services;
- Use AI outputs as the sole basis for design, legal, or construction decisions without professional review;
- Use QuirkyBoard to harass others, distribute malware, scrape the Service without permission, or train competing models using Service data;
The Services are intended to assist, not replace, professional judgment.
6. AI output and disclaimers
Brixzly uses AI technologies to assist with document review and project evaluation. You understand that AI results are generated based on patterns and context from provided data; output may contain errors, omissions, or misinterpretations; and analyses are for informational purposes only.
You are responsible for verifying AI results before relying on them. Brixzly makes no warranty as to the accuracy, completeness, or fitness of any AI-generated content.
7. Intellectual property
All intellectual property rights in the Services (including software, algorithms, and designs) belong to Brixzly, LLC or its licensors.
You retain ownership of your uploaded documents and QuirkyBoard content, but grant Brixzly a limited license to process, host, and display your content solely to operate and improve the Services.
You may not copy, modify, or distribute any part of the Services without prior written consent.
8. Privacy and data use
Our Privacy Policy explains how we collect, use, and protect user information. By using the Services, you consent to our data practices and agree that your content may be processed by automated systems where necessary to deliver features you choose.
9. Subscriptions and payments
Some features require a paid subscription plan. Plans may be billed annually or as described at checkout. Payments are processed securely (for example through Stripe). By subscribing, you authorize charges as disclosed at purchase.
You may cancel as described on your membership account page or by contacting privacy@brixzly.com. Refund rules, if any, are stated at purchase or on our website.
10. Third-party services
Brixzly integrates with third-party providers (for example hosting, payments, AI APIs, cloud storage, email). Use of integrations is subject to their respective terms and privacy policies. Brixzly is not responsible for third-party products or actions beyond our reasonable control.
11. User-generated content and collaboration
You retain ownership of content you upload. By submitting content, you grant Brixzly a non-exclusive license to host and process it solely to provide and enhance the Services.
You are responsible for accuracy, permissions, confidentiality, and compliance with contracts and professional ethics. Brixzly may remove content that violates these Terms or applicable law.
12. Beta features disclaimer
Beta or experimental features may be unstable or incomplete and are provided “as is” without warranty. Beta outputs should not be relied upon for professional, legal, or financial decisions.
13. Professional and contractual liability disclaimer
Brixzly is not a licensed professional or law firm and does not provide professional advice. AI outputs are advisory only. Brixzly is not liable for misinterpretations or outcomes arising from reliance on AI insights. Use of the platform does not create a professional-client relationship.
14. Regulatory and compliance notice
Brixzly’s tools assist professionals and do not replace licensure or certification. You are responsible for compliance with applicable laws and professional standards.
15. Data security
We use industry-standard measures where appropriate to protect your data. No system is completely secure; you use the Services at your own risk.
16. Termination
We may suspend or terminate access for violation of these Terms or misuse of the Services. Upon termination, your license ends and we may restrict access to stored data consistent with our retention policy.
17. Modifications
We may update these Terms from time to time. Changes take effect upon posting unless stated otherwise. Continued use constitutes acceptance of revised Terms.
18. Limitation of liability
To the fullest extent permitted by law, Brixzly is not liable for indirect, incidental, or consequential damages. Total liability is limited as permitted by law and may be capped as stated in these Terms or your subscription agreement.
19. Indemnification
You agree to defend and hold harmless Brixzly, LLC from claims arising from your use of the Services, your content, or your breach of these Terms.
20. Governing law
These Terms are governed by the laws of the State of Illinois. Disputes shall be resolved in courts located in Cook County, Illinois, except where prohibited by law.
